1.Purpose and acceptance
These terms of use (the “Terms”) govern access to and use of Discer. Discer is a brand of Forge Libre Inc., a for-profit business corporation (NEQ 1181640138), whose business address is 80 rue Wellington Sud, Suite 5120, Sherbrooke, QC J1H 5C7.
Discer is intended for businesses and professionals, for the needs of their activities. It is not offered to consumers: the account is opened and the subscription is taken out in the name of a business.
By checking the box provided at sign-up, by requesting your market snapshot, by subscribing or by using Discer, you accept the Terms on behalf of the business you represent and you declare that you have the authority to bind it. If you do not accept the Terms, do not use Discer.
The Privacy policy is part of the Terms. It explains how we handle personal information.
2.Definitions
- Forge Libre, we: Forge Libre Inc., a business corporation, which operates Discer.
- Discer or the service: the discer.ca website, the application, the API, the MCP server, the AI assistant, the exports and the emails of Discer.
- Client, you: the business (corporation, sole proprietorship or professional) that opens an account and takes out a subscription.
- User: any person the Client authorizes to use its account, including the account holder and the members of its team.
- Client Content: the information, documents, notes, lists and other content that the Client or its Users enter or upload in Discer.
- Public data: data published by public bodies and presented in Discer.
- Results: what Discer produces: tender relevance, statistics, indicators, summaries, document analyses, assistant answers and prepared documents.
3.The service
Discer brings together public data on tenders and public contracts, and offers tools to follow them and prepare bids: monitoring and tender emails, tender sheets, market and competition statistics, Pipeline, contacts, analysis of tender documents, AI assistant, API, MCP server and exports. The features offered depend on the plan chosen (see pricing).
Discer evolves: we may add, change or remove features. If a removal significantly reduces your plan, we will notify you by email before it takes effect.
4.Market snapshot and Discer emails
When you request your market snapshot by email, on discer.ca or in the form of a Discer ad on Facebook or Instagram, you accept the Terms and you agree to receive, at the address provided:
- your market snapshot and the tender notices that come with it;
- Discer's emails: new features, promotional offers, special offers for users and events.
Each email states that it comes from Discer, a brand of Forge Libre Inc., and contains an unsubscribe link. You may unsubscribe at any time with that link or by writing to info@forgelibre.ca.
5.Independence of the service
Discer is a private and independent service. It is neither operated nor endorsed by the Government of Québec, SEAO, the Government of Canada, the City of Toronto, the Registraire des entreprises, the Régie du bâtiment du Québec or any buyer. In case of discrepancy, the official sources prevail.
Discer takes no part in any tendering process, submits no bid and has no influence on the award of contracts. Every subscriber sees the same public data, according to its plan.
6.Account, users and security
Opening the account
Provide accurate information and keep it up to date. The person who opens the account becomes its holder: they manage the subscription, the Users and the API keys.
Users
Each User has their own access (email code or Google). An access cannot be shared among several people. The number of Users is limited to the number paid for: Pro and Intelligence, per user; Team, 3 users plus the additional users paid for. To enforce this rule, Discer may detect the use of the same access on several devices (see the Privacy policy).
The Client is responsible for all activity carried out with its account and for its Users' compliance with the Terms.
Security
Keep your access and API keys confidential. Notify us without delay at info@forgelibre.ca of any unauthorized use of your account.
7.Plans, payment and cancellation
Prices
As of October 3, 2026: Pro, $79 per user per month; Intelligence, $249 per user per month; Team, $379 per month for 3 users, plus $59 per month per additional user. Annual payment costs 10 months and is billed at once. Prices are in Canadian dollars, taxes extra (GST, QST or others, calculated at payment). The prices in force are those on the Pricing page at the time of purchase.
Public beta
Public beta prices are offered to a limited number of accounts, until December 31, 2026. They are kept as long as the subscription continues. A subscription that ends loses them: a new subscription is at the regular price.
Payment
Payment is required upon subscription, by card, through Stripe. The subscription renews automatically at the end of each period (month or year) until it is cancelled. You authorize Forge Libre to charge, through Stripe, the amounts due at each renewal. Forge Libre does not keep card numbers. If a payment fails, we may suspend access to paid features until payment is made.
Cancellation
You may cancel at any time from the billing portal. Access remains until the end of the paid period; the subscription is then not renewed. No refund, in whole or in part, is granted for a period that has begun, including in case of cancellation, move to a lower plan or non-use, except in the case provided for in the section Suspension and termination.
Plan changes
- Higher plan: the change is immediate. The unused part of the current period is credited pro rata, the new plan is billed for a full period and the billing date becomes the date of the change.
- Lower plan: the change takes effect at the end of the paid period.
Pause
The holder of a monthly subscription may pause it for 1 to 3 months from Settings, Billing, once per 12-month period. During the pause, no invoice is issued and the app is suspended: no feature is offered (tender search, sheets, Pipeline, report and API included); the morning email, alerts, document analysis and the assistant are suspended; the plan and the number of users cannot change; only the account settings and billing remain available; your data is kept. A pause does not end the subscription: the public beta price is kept. The subscription resumes automatically on the scheduled date. The holder may resume it earlier: a new full period is then billed the same day and the billing date becomes the resume date; the unused part of a period paid before the pause is credited pro rata.
AI credits
Each plan includes a monthly balance of AI credits, shared by the assistant and document analysis. The balance resets on the 1st of each month: unused monthly credits are not carried over. Top-ups of 500 credits are offered at $29; they are valid for 12 months after purchase, are used after the monthly balance and are non-refundable.
Price changes
We may change prices. We notify users by email or in Discer. The new price applies at the first renewal after that notice; if you do not accept it, cancel your subscription before that renewal. The public beta price is kept as long as the subscription continues.
8.Public data and published contacts
Discer presents public data: tenders and contracts published on SEAO (open data from Données Québec, CC BY 4.0 licence), tenders from CanadaBuys and the City of Toronto (open government licences), information from the Québec enterprise register and licences of the Régie du bâtiment du Québec. The sources are listed at the bottom of each page.
This data remains subject to its licences. Discer collects, normalizes and links it. There may be a delay between its publication and its display, and it may contain errors or omissions, present at the source or introduced by its processing.
Contacts published in tenders
The Contacts section shows the name, email and phone number of the contact persons published in the tenders and contracts of the last 36 months. They are used to reach a business or a buyer about a tender or a business opportunity related to its activities, in compliance with the law (see Your responsibilities).
Anyone may request the removal of a contact. A request made from Discer immediately hides the contact for the account that made it. A person without an account writes to info@forgelibre.ca. Forge Libre reviews each request and decides whether to remove the contact for all accounts.
9.Analyses, indicators and AI results
Discer produces Results from public data and from your content: tender relevance, market statistics, historical prices, indicators (tender competitiveness, expected competitors, price position, probability of winning), summaries, document analyses and assistant answers.
Discer gives you information. No Result is a recommendation or advice, in particular on whether to bid or on the price to submit. A price position, including one shown as the “ideal position”, or a probability is a calculation based on the history of awarded tenders: it is neither a recommendation nor a guarantee, and the price you submit remains your decision.
Results may be incomplete or inaccurate, especially those produced by AI, which can make mistakes or miss a requirement. Statistics and indicators describe the past: they do not predict the outcome of a tender.
Forge Libre guarantees no outcome: not winning a contract, nor revenue, a margin or savings, nor the accuracy of an indicator. You remain solely responsible for your decisions: whether to bid, the price, the content and the compliance of your bid.
10.Uploaded documents and AI assistant
You may upload tender documents (specifications, addenda, forms) to have them analyzed, and ask the assistant questions.
Your right to upload
By uploading a document, you declare that you have the right to do so: you obtained it through your own SEAO account or from the buyer, and its processing in Discer does not breach any condition that applies to it. You are responsible for the content you upload. Forge Libre does not check it and is not responsible for it. Do not upload personal information that the analysis does not need.
Processing by an AI provider
The content of the documents, your questions to the assistant and the relevant elements of your monitoring profile are sent to our artificial intelligence provider, DeepSeek, for processing. By accepting the Terms, you agree to this transfer.
We do not send any personal information to DeepSeek. Before anything is sent, a filter removes people's names, phone numbers and personal email addresses from the text. This filter is automatic: you therefore agree not to add third parties' personal information to your questions or documents (see Your responsibilities).
Uploaded files are deleted as soon as the analysis ends (at most 24 hours after a failure). The Results of the analysis remain in your account for 24 months after it is created, then are deleted.
Aggregated and anonymous data
The Results of analyses are also used, in aggregated and anonymous form, to establish the trades and services required by a tender, shown to subscribers in the Subcontracting feature. This data contains neither the subscriber's identity, nor the document, nor any excerpt from it.
11.Your responsibilities
You agree to:
- check the official tender documents and all their addenda, at the source (SEAO or the buyer), before bidding: Discer does not replace reading them;
- prepare and submit your bid under your sole responsibility: price, compliance, eligibility, deadlines and signatures;
- keep the information in your account and your bidder file accurate and up to date (signatory, GST and QST numbers, RBQ licence, insurance, certificates): Discer uses it as is to prepare your documents;
- comply with Canada's Anti-Spam Legislation (CASL), privacy laws and other applicable laws when you contact a business or a person found in Discer; in particular, not send commercial electronic messages without the required consent or in bulk;
- not resell, rent or disclose Discer data to a third party, nor extract it by automated means (see Data, API and assistant: prohibited uses);
- not circumvent the limits of your plan, the usage caps or the security measures, nor decompile, disassemble or reverse engineer Discer;
- not share your access or your account beyond the Users paid for;
- keep your access and API keys confidential, and notify us without delay of any unauthorized use;
- upload only content you have the right to use, with no virus or malicious code, and that infringes no one's rights;
- not enter third parties' personal information in your questions to the assistant, nor in the documents you upload beyond what the official tender notice contains;
- not use Discer for illegal or fraudulent purposes, in particular to coordinate bids with competitors (bid-rigging), nor to harm the service or its other users.
12.Data, API and assistant: prohibited uses
Discer gives you access to its data, API, MCP server, AI assistant and exports to prepare your own bids and follow your market. The following are prohibited, by any means (API, MCP, assistant, exports, screens, bots):
- systematic or bulk extraction of the data, including stepping through tender, company or buyer records in order;
- selling, renting, sublicensing or making the data available to a third party, in whole or in part;
- rebuilding, even partially, a database comparable to Discer's;
- using the data to train, fine-tune or evaluate a machine-learning or AI model, except an agent that prepares your own bids without keeping the data beyond that use.
Usage limits apply to each account (requests, records viewed, list and export rows); they are listed in the API documentation and in the settings. Calls are logged (key, route, number of items, date; never the content) and kept 90 days. Exports carry an account identifier. If these rules are not followed, Discer may slow down or suspend access, revoke keys and terminate the subscription. Creating an API key means accepting these rules.
13.Private tenders
This section applies to private tenders published in Discer by a buyer (the "buyer") and to the bids submitted in response ("private tenders"). It supplements the other sections of these Terms.
### Role of Forge Libre
Discer sends the private tender, receives the bids and opens them at the scheduled time. Forge Libre does not choose the winner, is not a party to the contract and guarantees neither the number of responses nor the solvency of a buyer, even a verified one. The subscribed companies that receive a private tender are those whose profile matches the notice, in any sector; the plan influences neither this choice nor the order.
### Buyer commitments
- publish on behalf of an organization (NEQ), with accurate information and documents it has the right to share;
- genuinely intend to award a contract and charge no fee to bid;
- receive bids only through Discer and share no bidder's price with any other bidder before opening;
- record the result in Discer (winner and contract amount, or the reason for not awarding); while the result of a notice closed for more than 30 days is missing, no new notice can be published;
- comply with applicable laws, including the Competition Act and, for construction work, the licences of the Régie du bâtiment du Québec and the bid filing code of the Bureau des soumissions déposées du Québec (BSDQ) where it applies;
- invite only suppliers with which its organization has a business relationship, or whose address is published for this type of business (CASL).
Forge Libre may decline, remove or suspend a private tender. The buyer indemnifies Forge Libre against any claim related to its notice.
### Bidder commitments
The bidder states that it has the authority to bind the company, that its bid is accurate, firm for its validity period and prepared without agreement or communication with a competitor, and it discloses any joint bid. Its bid and contact details are sent to the buyer at opening. A supplier invited by a buyer may bid without a subscription, for that notice only.
### Sealing and opening
Discer's clock is authoritative. A submission completed after the closing time is refused. A bid may be replaced or withdrawn until that time; only the last version is opened. Bids are encrypted until opening: Forge Libre undertakes not to access prices before closing, and each opening is logged. If Discer is down in the two hours before closing, the closing may be postponed to the same time on the first business day after the service returns; each invitee is notified.
### Result and publication
After opening, as for a public tender, each bidder is notified of the result (selected or not, rank of its price, number of bids). Bidder names, their prices, the winner and the contract amount are published in Discer to subscribers whose plan allows it, and enter Discer's statistics as a data source, like public tenders. The buyer consents to this by publishing, and each bidder by submitting. At award, the name, title, email and phone of the buyer's person in charge are sent to the selected bidder only.
### Analysis of the tender documents
When the buyer submits the tender, Discer has its documents read by AI, once per tender; an addendum that adds documents completes the analysis. No AI credits are used. The analysis is shown to everyone who sees the tender: the buyer, subscribed companies and invited suppliers. The buyer's documents prevail.
### Bid Evaluation
After the opening, the buyer can purchase the Bid Evaluation: $190 per tender, taxes extra, paid once through Stripe. It is a report of facts on each bidder, drawn from public data and Discer (contracts won, usual prices, history, change orders, licences), each with its source, with no ranking or recommendation. For each bid, it also shows the tender requirements the AI found in it, with the attachment and page. The Bid Evaluation is offered only if Discer's data cover at least 2 bidders of the tender. Viewing the bids remains at no cost.
### Data and retention
The buyer and the bidder grant Forge Libre the right to keep and use the notice, the bids (price and rank), the result and the contract amount for the service and its statistics. Bid attachments are deleted 24 months after closing.
### Notices
- Discer does not receive a bid that must be filed with the BSDQ; the buyer and the contractor remain responsible for applying its Code.
- Discer displays the public register of the Régie du bâtiment du Québec as of the date it was read, without guaranteeing a company's licence.
- The payment terms shown are those promised by the buyer. The decision to award belongs to the buyer.
14.Intellectual property
Discer, its software, interface, texts, brand, databases (selection, organization and enrichment of the data) and the Results belong to Forge Libre or its licensors, subject to the rights of the publishers of the public data.
During your subscription, Forge Libre grants you a limited, non-exclusive, non-transferable and revocable licence to use Discer and the Results for the internal needs of your business, within the limits of your plan and the Terms. You may reuse the Results in your own bids and internal documents.
Client Content belongs to you. You grant Forge Libre a non-exclusive, worldwide licence, without royalties, to host, copy, process and transmit this content, including to its providers, to the extent necessary to provide, secure and improve Discer, and to derive aggregated and anonymous data from it (see Uploaded documents and AI assistant). This licence ends when your content is deleted, except for aggregated and anonymous data already produced.
If you send us suggestions, we may use them without any obligation to you.
15.Availability and maintenance
We make reasonable efforts to keep Discer available at all times, without guaranteeing an uninterrupted service or one without errors. Interruptions may occur for maintenance, updates, an outage at a provider or a data source, or for security reasons. We try to schedule maintenance outside business hours.
A tender email may be delayed or not delivered (filter, outage). Do not rely solely on Discer to learn of a closing date or an addendum.
16.No warranty
Discer and the Results are provided “as is” and “as available”. To the extent permitted by law, Forge Libre excludes any warranty, express or implied, including of quality, fitness for a particular purpose, accuracy, completeness or timeliness of the data, and absence of errors.
Nothing in the Terms excludes a warranty that the law does not allow to be excluded.
17.Limitation of liability
To the extent permitted by law:
- Forge Libre is not liable for indirect, incidental or punitive damages, nor for loss of contracts, profits, revenue, business opportunities, data or reputation, even if it was advised of their possibility;
- Forge Libre is not liable for the consequences of an error, omission or delay in the public data or the Results, including a bid found non-compliant, a missed addendum or a missed date;
- Forge Libre's total liability, for all causes combined, is limited to the amounts you paid for Discer in the 12 months before the event giving rise to the claim.
These limits do not apply to an intentional or gross fault of Forge Libre, nor to bodily or moral injury, for which the law does not allow liability to be excluded or limited.
18.Indemnification
The Client indemnifies Forge Libre, its officers, employees and providers, and holds them harmless, from any claim, loss, fine or expense (including reasonable legal fees) arising from:
- Client Content;
- a breach of the Terms by the Client or its Users;
- a violation of the law by the Client or its Users, including CASL or privacy laws;
- an infringement of a third party's rights by the Client or its Users.
Forge Libre notifies the Client of the claim and may take part in its defence.
19.Suspension and termination
Forge Libre may suspend the access of an account, a User or an API key, or terminate the subscription, in case of a breach of the Terms, non-payment, use that endangers the security or operation of Discer, or if the law requires it. Except in an emergency or a serious breach, we notify you first and give you 10 days to correct the situation. Termination for breach gives no right to a refund.
You may end your subscription at any time (see Plans, payment and cancellation).
Forge Libre may stop offering Discer. It then notifies users by email or in Discer and refunds the paid part of the current period that will not have been provided.
When the subscription ends, access to paid features stops. Your data is kept and then deleted according to the Privacy policy. Sections that by their nature must survive (including intellectual property, no warranty, limitation of liability, indemnification and governing law) remain in force.
20.Changes to these Terms
We may change the Terms. We publish the new version on this page, with its date, and notify users by email or in Discer. By continuing to use Discer after that notice, you accept the new version; if you do not accept it, you may cancel your subscription at any time (see Plans, payment and cancellation).
21.General provisions
Force majeure
Forge Libre is not liable for a delay or failure caused by an event beyond its reasonable control: outage of a provider or of the Internet, interruption of a public data source, cyberattack, disaster, epidemic, labour dispute or decision of a public authority.
Assignment
You may not assign the Terms or your subscription without our written consent. Forge Libre may assign them, in particular in a reorganization, a merger or the sale of all or part of its business; you will be notified.
Entire agreement
The Terms, the Privacy policy and the details of your order form the entire agreement between the Client and Forge Libre regarding Discer. They replace any prior agreement or communication on this subject. The Client's purchasing terms or purchase orders do not apply.
Severability
If a provision is found invalid or unenforceable, it applies to the extent permitted and the other provisions remain in force.
Waiver
Not exercising a right does not mean waiving it.
Notices
We send our notices to the email address of the account holder. You send yours to info@forgelibre.ca.
22.Governing law and courts
The Terms are governed by the laws of Québec and the federal laws of Canada that apply therein.
Any dispute relating to the Terms or to Discer falls under the exclusive jurisdiction of the courts of the judicial district of Saint-François (Sherbrooke, Québec).
23.Language
The Terms are written in French. This English translation is provided for convenience; in case of discrepancy, the French version prevails.
